End User License Agreement (EULA) for iSolution

This End User License Agreement (EULA) is a legal agreement between you (the “User” or “Licensee”) and iSolution (“Company,” “we,” “us,” or “our”) for the use of our software application “connector name” (the “Software”). By installing, accessing, or using the Software, you agree to be bound by the terms and conditions of this EULA. If you do not agree to these terms, do not install, access, or use the Software.

1. Definitions

Connector: The custom software solution named iSolution, provided by Vendor, including any updates, documentation, or associated materials.
GCP Marketplace: The online marketplace operated by Google Cloud Platform where the Connector is made available.
Customer Data: Any data, content, or information provided by You or Your end users through the use of the Connector.

2. License Grant

Vendor grants You a non-exclusive, non-transferable, revocable license to access and use iSolution solely for Your internal business purposes, subject to the terms of this Agreement and any applicable subscription or purchase terms agreed upon through the GCP Marketplace. This license is limited to the scope of use specified in Your subscription or order.

3. Restrictions

You shall not, and shall not permit any third party to:

Copy, modify, or create derivative works of iSolution;
Reverse engineer, decompile, disassemble, or attempt to extract the source code of iSolution, except as permitted by applicable law;
Sell, sublicense, lease, rent, or otherwise distribute iSolution;
Use iSolution to violate any applicable laws, regulations, or third-party rights;
Remove or alter any copyright, trademark, or proprietary notices included in iSolution.

4. Ownership

iSolution and all intellectual property rights therein are and shall remain the sole property of Vendor or its licensors. This Agreement does not grant You any ownership rights in iSolution, only the limited license described herein.

5. Customer Data

You retain all rights to Customer Data processed or stored using iSolution.
Vendors may access and use Customer Data solely to provide, maintain, and improve iSolution, or as required by law.
You are responsible for ensuring that Your use of Customer Data complies with all applicable laws, including privacy and data protection regulations.

6. Fees and Payment

Fees for iSolution are governed by the terms of Your purchase or subscription through the GCP Marketplace. All payments are processed in accordance with Google Cloud Platform’s billing policies, and You agree to comply with those terms.

7. Term and Termination

This Agreement is effective as of the date You first access or use iSolution and continues until terminated.
Vendor may terminate this Agreement immediately if You breach any of its terms.
Upon termination, You must cease all use of iSolution and destroy any copies in Your possession.
Sections 4, 5, 8, 9, 10, and 11 shall survive termination.

8. Disclaimer of Warranties

iSolution is provided “as is” and “as available,” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. Vendor does not guarantee that iSolution will be uninterrupted, error-free, or secure.

9. Limitation of Liability

To the maximum extent permitted by law, Vendor shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or related to this Agreement or the use of iSolution. Vendor’s total liability under this Agreement shall not exceed the amounts paid by You for iSolution in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify and hold Vendor harmless from any claims, damages, or losses arising from Your use of iSolution, including any violation of this Agreement or applicable laws.

11. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Saudi Arabia, without regard to its conflict of law principles. Any disputes arising under this Agreement shall be resolved in the courts of Saudi Arabia.

12. Miscellaneous

Entire Agreement: This Agreement constitutes the entire agreement between You and Vendor regarding iSolution and supersedes any prior agreements.
Amendments: Vendor may update this Agreement from time to time. Continued use of iSolution after such updates constitutes Your acceptance of the revised terms.
Assignment: You may not assign this Agreement without Vendor’s prior written consent.
Severability: If any provision of this Agreement is found invalid, the remaining provisions shall remain in full force and effect.
